Annual General Meeting 2021

 Members and directors of PrefabAUS Ltd (the Company) are invited to attend the 2021 Annual General Meeting. 

The Meeting will be held via online platform at 9:00 am on Thursday 16 September 2021. 

Business 

1. To receive the 2021 directors’ report 

2. To receive the 2021 financial report 

3. To appoint directors 

4. To determine the remuneration of directors 

5. To attend to any other business that may be dealt with at the Annual General Meeting 

Important information about the Meeting: 

• prefabAUS financial Members as of 31 August 2021 are entitled to attend the Annual General Meeting; 

• Each Member (irrespective of the membership category) is entitled to one vote; 

• Members may submit a proxy to vote on their behalf at the Meeting (proxy appointment form is attached). Completed proxy forms must be received by the Company by the date specified on the proxy form. 

• Under the Constitution, the directors determine the number of directors, being not less than 3 and not more than 10. The current number of directors is nine. Directors are appointed for two-year terms. 

• All of the nine current directors are renominating: Damien Crough, Brad Denison, Rob Colquhoun, Joyce Ferng, John Lucchetti, Nick Strongman, David Haller, Tuan Ngo and Paul Kremer. 

• The number of renominations and new nominations for director positions exceeds the maximum number of 10 directors permitted by the Company constitution. A poll will be conducted at the AGM for director positions. Information about the new director nominations is attached.
